DPDP Act for IT and SaaS Companies: Obligations as a Data Processor

By CA Ratan Singh Tanwar · Chartered Accountant, Bhilwara

IT service providers and SaaS companies sit in a unique position under the DPDP Act. For their own employees and leads, they are Data Fiduciaries. For the customer data they host or process on behalf of clients, they usually act as Data Processors.

The Act places primary accountability on the Data Fiduciary, but in practice clients will push these obligations down to their technology vendors through contracts, security questionnaires and audits.

What clients will expect from you

  • Processing only on instructions: Client data used only for the contracted service, not for product analytics or AI training without permission.
  • Reasonable security safeguards: Encryption, access control, logging, vulnerability management and backups, ideally aligned with ISO 27001.
  • Breach notification: Prompt notice to the client so they can meet their own DPDP intimation duties.
  • Sub-processor transparency: A list of cloud providers and other sub-processors, with notice before changes.
  • Deletion on exit: Return or erase client data at the end of the contract, with confirmation.

Cross-border data and hosting

The DPDP Act permits transfer of personal data outside India except to countries the government may restrict by notification. Many enterprise and BFSI clients, however, will still prefer India-region hosting because of sectoral rules, so document where data is stored and replicated.

Turning compliance into a sales advantage

  • Publish a clear trust page covering security, privacy and hosting.
  • Prepare a standard Data Processing Agreement.
  • Keep evidence ready: ISO 27001 certificate, VAPT summary and system audit reports.
  • Build privacy features into the product: role-based access, audit logs, data export and deletion tools.
Key takeaway: For IT and SaaS companies, DPDP readiness is quickly becoming a condition of doing business. Vendors that can show independent assurance will win procurement reviews faster.
